HEKTAŞ TİCARET T. ANONİM ŞİRKETİ recognizes its responsibilities towards its stakeholders as a leading company in its sector and one of the publicly traded companies with the most extensive sales network in Turkey. In this context, the Company adopts the principles of "equality", "transparency", "accountability", and "responsibility", which form the foundation of corporate governance in its activities, and shows utmost diligence and effort in complying with the Capital Markets Law ("CML") and the secondary regulations and decisions of the Capital Markets Board ("CMB").

In line with these corporate governance efforts, corporate governance mechanisms within the Company have been operated in accordance with the principles since February 27, 2012.

HEKTAŞ TİCARET T. ANONİM ŞİRKETİ believes in the importance of full compliance with Corporate Governance Principles. During the operating period ending on December 31, 2023, the Company adopted and implemented the corporate governance principles included in the Corporate Governance Communiqué and made mandatory by relevant legislation. The Company also shows maximum diligence in complying with voluntary principles that are not mandatory by relevant legislation, and to date, there have been no conflicts of interest among stakeholders concerning principles with which full compliance has not yet been achieved.

Explanations regarding compliance with the corporate governance principles included in the Corporate Governance Communiqué and those not yet complied with during the operating period ending on December 31, 2023, are provided in the activity report, the Corporate Governance Compliance Report ("CGCR"), the Corporate Governance Information Form ("CGIF"), and other relevant sections of the report.

In the future, efforts will continue to improve corporate governance practices within the framework of these principles, to better operate the mechanisms, and to implement a limited number of voluntary principles not yet put into practice.

Any changes in the CGCR or CGIF during the period will be disclosed as special cases and included in the interim activity reports.
